Commercial Purchase and Sale Agreement
(Vacant Land) (Pro-Buyer)

This purchase and sale agreement is drafted from the buyer's perspective and is intended for the acquisition or disposition of vacant land for commercial purposes. It includes practical guidance, drafting notes, alternate clauses, and optional clauses. Local counsel in the jurisdiction where the property is located should be consulted to advise on matters of local law. If the property being conveyed requires a more extensive agreement among the parties (e.g., if there are environmental issues or requires extensive due diligence on the part of the buyer), see Commercial Purchase and Sale Agreement (Long Form) which can be adapted for use in the case of vacant land. See Commercial Purchase and Sale Agreements for a discussion of drafting a purchase and sale agreement.
